This page and all written herein refers to TippyMart’s Terms of Use and shall be abided by all users of the site. This document is a legally binding contract between Chimes Consulting, a duly organized and validly existing under and by virtue of the laws of the Philippines and the users of TippyMart.
1. DEFINITIONS
Unless the context otherwise requires, the following expressions shall have the following meanings in these Terms and Conditions:
1.1 “Users” mean any person using our services and/or accessing the site;
1.2 “Site” refers to TippyMart, the website operated and/or owned by Chimes Consulting, which is presently located here;
1.3 “User Account” or “Account” refers to account created to connect users from our service and/or access our site, created and/or used through a continuous agreement to comply with our Terms and Conditions, operating rules, guidelines, instructions, and/or policies
1.4 “Members” refer to the users who use our services and/or accessing the site as a seller.
1.5 “Chimes” refers to Chimes Consulting, the company who owns TippyMart and who acts on its behalf.
2. GENERAL USE OF SERVICE AND/OR ACCESS TO THE SITE
2.1 By creating a user account, using TippyMart’s services and/or accessing the site, you thereby acknowledge, understand, and agree to comply with our Terms and Conditions, operating rules, guidelines, instructions, and/or policies for the use of our services and/or access to the site, including any amendments to the aforementioned. Chimes reserves the right to revise all Terms and Conditions, operating rules, guidelines, instructions, and/or policies pertaining to the use of our services and the site at any time. Users shall be deemed aware of and bound by any changes to the foregoing upon its publication in the site. Should any user disagree, do not continue the usage of our service and/or access to the site.
2.2 User Account Creation, Usage, and Access Eligibility. You agree:
2.2.1 To access and/or use the site for lawful purposes and in a lawful manner at all times and to conduct any activities done through the site in good faith;
2.2.2 That you are at least 18 years of age. Minors are prohibited from creating their own user account and can only use and/or access our services under the direct supervision of a parent or guardian, who is of legal age, and shall be deemed responsible for any activities made by the child within the site;
2.2.3 To provide accurate, complete, and up to date information and that you are solely responsible for such information;
2.2.4 That you are solely responsible for any acts done or committed through your user account including the usage of individuals whom you have given permission to use and/or access your user account;
2.2.5 To conduct appropriate security measures to protect your user account;
2.2.6 That you can use a company’s name only if you have been granted the authority to represent the said company and consent on their behalf;
2.2.7 that you understand and consent that by using our site and creating any transaction with our users, you are entering into a legally binding contract of sale under applicable laws.
3. PRIVACY
3.1 Chimes takes the security of your personal information seriously. Our privacy policy discusses the information which we use for both the users’ and our business’ sake. By using our services, you also agree to our privacy policy.
3.2 Please be reminded that while Chimes uses the information we have collected on TippyMart, we do not use or disclose this to anyone aside from those listed on our privacy policy; thus, during a transaction, should any user disclose the voluntary information provided to them by another user, we are not held liable.

4. USAGE OF OUR SERVICES
4.1 Prohibited activities: You agree NOT to:
4.1.1 Violate any existing applicable laws, rules, and/or regulations with the use of our services, commit any acts that are punishable by law, and act in bad faith;
4.1.2 Impersonate another person or entity;
4.1.3 Create multiple user accounts unless given permission by Chimes;
4.1.4 Sell, lend, or give your user account to other people;
4.1.5 Use other user accounts without their permission;
4.1.6 Steal, harm, reverse engineer, decrypt, modify, or try to obtain the source code of TippyMart and disturb the performance of our services;
4.1.7 Plagiarize and/or use the content of other users especially those that violate other people’s intellectual property rights;
4.1.8 Misuse our services (e.g. upload posts that are not related to selling/buying food items);
4.1.9 Collect information from individuals who did not grant you permission to do so;
4.1.10 Avoid paying bills and other charges associated with your user account.
4.2 Availability of the Site and Services: We may at any time, without giving any reason or prior notice, modify, suspend, discontinue, and/or remove the site or any services, in whole or in part. The Site shall not be liable if any such upgrade, modification, suspension, discontinue, and/or removal prevents you from accessing the site or using any part of the services.
4.3 Purchase of any products: Purchase of any products are subject to Terms and Conditions of Sale.
5. CONTENT
5.1 Right, but with no obligation, to monitor content: We reserve the right, but shall not be obliged to:
5.1.1 Monitor, screen or otherwise control any activity, content or material on the site. We may in our sole and absolute discretion, investigate any violation of the terms and conditions contained herein and may take any action we deem appropriate;
5.1.2 Prevent or restrict access of any user to the site and/or the Services;
5.1.3 report any activity we suspect to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities;
5.1.4 To request any information and data from you in connection with the use of the Services and/or access of the site at any time.
5.2 On TippyMart, users are permitted to post their own content (e.g. products, reviews, advertisements, photos, etc.). It is deemed therefore that users are solely responsible for any of the content they post on our site. We do not claim any responsibility for any content posted by users. Additionally:
5.2.1 Users shall be held solely responsible in the event of any violations, damages, or losses incurred in our site;
5.2.2 Posting any inappropriate and/or false content that may damage, deceive, or mislead Chimes and Tippymart’s users are prohibited at all times.
5.3 Content Usage: You agree and/or consent:
5.3.1 To give Chimes permission to use your content. You shall retain all the rights to the content and Chimes shall not claim any ownership; however, you are giving us the right to use them for the development and improvement of the site;
5.3.2 To grant Chimes a worldwide, non-exclusive, royalty-free, sub-licensable, and perpetual license to host, store, modify, reproduce, use, edit, publish and distribute your content for the same usage as stated above.
5.3.3 That you understand that Chimes has the right to refuse posting of, or remove your content on TippyMart, should it be objectionable, violate our policies, or receive a report for the sake of protecting the site and its users.
6. FEES AND PAYMENTS
6.1 Depending on your user account and subscription, you may be required to pay different kinds of fees to Chimes via TippyMart.. Payments of fees are done through the payment methods made available by us. You shall settle all payments before the due date set by Chimes on TippyMart and in accordance to the instructions. In the event of any user account termination or suspension, any amount billed thereof shall immediately be due and payable.
6.2 Liability to all taxes incurred during the use or access of our site shall be solely held by the users. Chimes is not liable for any non-compliance to any laws.
7. USER TO USER DISPUTES
7.1 In cases that users enter into disputes, the respective individuals shall try to resolve the issues themselves. Should this fail, either of the parties may send a report regarding the matter. The extent and limitation of Chimes’s role in user to user disputes are written here.
7.2 Chimes will not be responsible for any damages incurred in such disputes:
7.2.1 Termination or Suspension of User Account
Users may deactivate their user accounts through the settings tab. Chimes reserves the right to terminate, suspend, or modify a user account at any time, for any reason, without advance notice. Once your account has been suspended, you will lose any information and content related to your user account, and you no longer may use our services. Together with the account, all rights and licenses given by Chimes through TippyMart shall also be terminated.
Users of any terminated user accounts will still be liable to pay for any bills or fees charged into the account after termination.
8. WARRANTY
Chimes does not warrant or guarantee that: (I) We are always available at any time or location; (II) Our services work, is compatible, or operate on all kinds of software, hardware, system or data; (III) TippyMart is free of viruses and other harmful content; (IV) We will meet all your expectations; (V) All errors will be fixed or corrected. You agree that Chimes has no obligation to continue supporting or providing TippyMart’s service. Your use of TippyMart is at your own volition and discretion.
You acknowledge that our services are provided “as is” and does not come with any form of warranty (expressed or implied). We are disclaiming any representations and warranties (expressed, implied, statutory or otherwise), non-infringement, merchantability, fitness for a particular purpose to the fullest extent permitted under the law.
TippyMart contains limitations and other problems due to the internet and the respective electronics or gadgets used to access our services. We are not responsible for any damages, losses or failures caused by these factors.
Chimes disclaims all content including but not limited to those created by the users of our site. We are also not liable for any content or services our third party partners are providing should they be damaging in any way or should they fail to perform. In addition, should you use third party sites, you may be required to accept their terms and conditions; Chimes is in no way connected to such agreements or contracts. Should you accept their terms and conditions, the agreement is only between you and the third-party site.
We are also not liable for any damages incurred through interaction with other users, online or in person, from our site. Any interaction is at your own discretion. Chimes does not screen TippyMart’s users and thus, cannot guarantee the safety of everyone’s interactions or information. We wish all users to be cautious at all times.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY THE LAW, CHIMES, ITS SHAREHOLDERS, PARTNERS, AFFILIATES, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR ANY THIRD PARTY AND THEIR SERVICES, THE USE OR INABILITY OF ACCESS, YOUR ACTIONS OR OTHER USERS’ ACTIONS CONNECTED TO THE USE OF TIPPYMART AND ITS SERVICES DUE TO YOUR COMMUNICATION OR MEETINGS WITH OTHER USERS OF TIPPYMART, EVEN IF FORESEEABLE OR NOT, WHETHER CHIMES WAS ADVISED OF THE PROBABILITY OF SUCH DAMAGES. IN NO EVENT SHALL CHIMES’S AGGREGATE LIABILITY TO YOU SHALL EXCEED: (I) THE AMOUNT OF FEES YOU PAID FOR TIPPYMART’S SERVICES WITHIN 12 MONTHS; AND (II) PHP 5,000.
10. INDEMNITY
You agree to defend and indemnify Chimes, including but not limited to the employees, and shall hold us harmless from any legal claim, proceedings, damages, losses, and demand that come to light due to: (I) your actions; (II) misuse of our services; (III) your content; (IV) your breach of terms; (V) your breach of any duty, law, or statutory requirement; or (VI) your infringement of another person or identity’s rights.

Seller Terms of Use
1. DEFINITIONS
Unless otherwise defined, the definitions and provisions written in the Terms and Conditions, in respect of interpretations shall apply to these Terms and Conditions of Sale:
1.1 “Non-Perishable Food Items” refer to food products that do not require refrigeration and have a long shelf life;
1.2 “Member” refers to users who post their items for sale on the site;
1.3 “Customer” refers to users who order and buy products from Members on the site;
1.4 “Order” means the list of items the Customer submitted and the Member accepted;
1.5 “Customer Contract” refers to the agreement between the Buyer and the Member. Parties enter into agreement from the moment that the Member accepts the Order submitted by the Buyer.
1.7 “Chimes” refers to Chimes Consulting, the company who owns TippyMart and who acts on its behalf.
2. SCOPE
It is hereby agreed by both parties:
2.1 The Member is responsible for:
2.1.1 The content of their posts and/or product listings;
2.1.2 Selling, processing, and delivering all goods to the customer at the shipping address specified in the Order;
2.1.3 The collection of payments from their Customers;
2.1.4 Any Returns and Refunds that the Customer may request;
2.2 The Member will handle disputes with Customers as covered in the Dispute Resolution published on the site;
2.3 The Member shall pay TippyMart on time for their monthly membership plans (See Clause 9).
3. MEMBER’S OBLIGATION
3.1 Upon acceptance of Order, the Member shall:
3.1.1 Make an agreement with the Customer with regards to the specifications of the Order;
3.1.2 Send confirmation details to the Customer;
3.1.3 Arrange for a third-party delivery service to send the Goods to the Customer in accordance with the agreed upon specifications with the customer;
3.1.4 Notify the Customer when Order is being prepared and when it is out for shipping.
4. MEMBER’S DELIVERY FULFILLMENT
4.1 The Member shall:
4.1.1 Fulfill the Order in accordance with the conditions as defined in their Terms of Use;
4.1.2 Shall publish the available delivery options of their items in the Product
Description page of their store, including the fees and charges for such options, if it is charged to the Customer.
5. PAYMENTS
Payment of Orders shall be done through the payment methods agreed upon by the Member and the Customer. Chimes shall not handle any financial matters with regard to any Orders made through our services and/or access to our site. Chimes, therefore, is not liable for any losses incurred during transactions between the Member and the Customer.
6. CUSTOMER RETURNS AND REFUNDS
All Customer Returns and Refunds are generally prohibited with the exception for Non-perishable Food Items. Returns of Non-perishable Food Items are subject to the Return and Refunds policy of the Members. It is therefore necessary for Members with Non-perishable Food Items to set up a Returns and Refunds Policy and publish it on their store page. The Member has the right to refuse Returns and Refunds as long as it is not contradictory with existing Terms and Conditions, Terms of Sale, rules, instructions, and policies set up by Chimes.
7. GENERAL PROVISIONS
7.1 Product Photos: By uploading your product photos, you acknowledge that you understand, agree, and consent that Chimes has the right to use the product photos for promotions and similar activities.
8. MEMBERSHIP TIERS
8.1 All Membership Tiers allow members to:
- Keep one hundred percent (100%) of their profits,
- Create their own storefront on TippyMart,
- Get automatic sales reports;
- Access to TippyMart’s Knowledge Hub.
TippyMart’s Member accounts will be composed of six (6) membership tiers:
8.1.1 Free – The Free or Pioneer membership tier allows the member to post and/or sell a maximum of 3 products per month on TippyMart;
8.1.2 Basic – The Basic membership tier allows the member to post and/or sell a maximum of 20 products per month on TippyMart, create discount coupons, view customer database in real time, and grant store controls to +1 seller account;
8.1.3 Pro – The Pro membership tier allows the member to post and/or sell a maximum of 50 products per month on TippyMart, upload and edit products in bulk, display current stocks of products, feature sale products on homepage, create discount coupons, view customer database in real time, and grant store controls to +3 seller accounts;
8.1.4 Business – The Business membership tier allows the member to post and/or sell a maximum of 100 products per month on TippyMart upload and edit products in bulk, display current stocks of products, feature sale products on homepage, create discount coupons, view customer database in real time, grant store controls to +5 seller’s account, and access to Tippymart’s Seller Support;
8.1.5 Enterprise – The Enterprise membership tier allows the member to post and/or sell unlimited per month on TippyMart upload and edit products in bulk, display current stocks of products, feature sale products on homepage, create discount coupons, view customer database in real time, grant store controls to +5 seller’s account, and access to Tippymart’s Seller Support;
8.1.6 Pioneer – The Pioneer membership tier will include features similar to the Basic membership tier.
9. MEMBERSHIP CHARGES
9.1 Free – No fees charged.
9.2 Basic Membership Tier – To be listed once launched;
9.3 Pro Membership Tier – To be listed once launched;
9.4 Business Membership Tier – To be listed once launched;
9.5 Enterprise Membership Tier – To be listed once launched;
9.6 Pioneer Membership Tier – No fees charged and to be offered for a limited time only.
In the event when Chimes may need to increase Tippymart’s membership charges, we will give you prior notice of any incoming price increase and its corresponding effective date. During this period, Members have the usual right to terminate their membership.
10. BILLINGS
10.1 Members are responsible for the payment of any charges incurred and/or is associated with their account;
10.2 No portion of the charges shall be refunded, unless determined otherwise by Chimes’s and its affiliates’ solely on its discretion;
10.3 Chimes or its affiliates, in their sole discretion, may suspend the account of any member whose payment card charge is declined by the payment card issuer.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY THE LAW, CHIMES, ITS SHAREHOLDERS, PARTNERS, AFFILIATES, EMPLOYEES, SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR ANY THIRD PARTY AND THEIR SERVICES, THE USE OR INABILITY OF ACCESS, YOUR ACTIONS OR OTHER MEMBERS’ ACTIONS CONNECTED TO THE USE OF TIPPYMART AND ITS SERVICES DUE TO YOUR COMMUNICATION OR MEETINGS WITH OTHER USERS OF TIPPYMART, EVEN IF FORESEEABLE OR NOT, WHETHER CHIMES WAS ADVISED OF THE PROBABILITY OF SUCH DAMAGES. IN NO EVENT SHALL TIPPYMART’S AGGREGATE LIABILITY TO YOU SHALL EXCEED: (I) THE AMOUNT OF FEES YOU PAID FOR TIPPYMART’S SERVICES WITHIN 12 MONTHS; AND (II) PHP 5,000.

TippyMart
Fair Pricing Policy
TippyMart aims to give our buyers a pleasant experience on the site. Therefore, we are implementing a strict policy on fair pricing. Although our sellers are free to set their own prices, Chimes Consulting shall monitor the prices of posted food items and shall compare it to other similar items on and off the site. This way, we can track on-sale foods that are excessive or overpriced, conduct appropriate actions, and keep the trust of our buyers.
The following price setting are prohibited:
- Misleading Reference Price – Food items that are not available elsewhere except Tippymart but have an excessive price.
- Overpriced Food Item Prices – Prices which are unnecessarily high compared to other similar products.
- Manipulation of Prices – Deceiving buyers by changing an item’s excessive price into a normal price point to create an image of a fake discount.
Should a seller and their respective post break this policy, Chimes Consulting has the right to remove the post and give a warning. If this persists, suspension of account may occur.
TippyMart
Sellers’ Code of Conduct
TippyMart’s Code of Conduct discusses responsible and acceptable practices in conducting a business under the site. Any seller account that breaks the policy shall face strict consequences including the suspension of their respective accounts and/or facing appropriate legal actions.“Chimes” shall refer to Chimes Consulting, the company who owns TippyMart.
Sellers (herein referred to as “sellers” and “users”) have the ability to post products and conduct business on TippyMart (herein referred to as “the site” and “us”) as long as they abide by the rules and regulations. Chimes has the right to conduct an audit or investigation should we notice or receive a report regarding any suspicious action performed.
The following activities are prohibited:
- Disclosure of information of either the buyers or TippyMart for any purpose other than legitimate business transactions.
- Excessive or unreasonable use of TippyMart where sellers repeatedly post the same products in an excessive amount although deemed unnecessary.
- Unfair behavior that is considered manipulative, or damaging to other sellers. Activities that involve, but is not limited to, manipulation of prices and reviews, and any action that aims to ruin other sellers’ reputation.
- Misleading and inappropriate behavior such as misleading information of accounts and posts, inappropriate or offensive food items, or any unwarranted conduct during buyer-seller communication.
- Any action that may break the Trust of buyers such as scamming or providing items that are different from what was posted.
- Any illegal acts which are prohibited and punishable by Philippine law.
All sellers are expected to abide by TippyMart’s Seller Code of Conduct, other policies, and adhere to all applicable laws.
TippyMart
Prohibited Items/Listing Policy
For the purpose of this policy, “Chimes” shall refer to Chimes Consulting, the company who owns TippyMart.
While TippyMart is considered an online selling platform and a way to connect various food entrepreneurs and food enthusiasts, TippyMart urges all sellers to follow the rules and avoid selling any prohibited items which will be discussed in this policy. Likewise, we wish all buyers to avoid or report any listed items that are against TippyMart’s rules and regulations. For the protection of both buyers and sellers alike, Chimes expects both parties to abide by all the rules in order to avoid any legal and/or health risks. The following listings are prohibited in TippyMart:
1. Non-food Products
In order to keep Tippymart a food-centered haven, we wish all sellers to keep their listings strictly food related.
Ex: Clothes, furniture, computers, etc
2. Promoting Outside Transactions
Any form of listing that acts as an advertisement urging buyers to transact outside of TippyMart is strictly prohibited. Inclusion of websites and/or facebook page links are allowed should it not act as its own list per se.
3. Drugs, Medical Drugs, Tobacco, Drug Paraphernalia
Any form of Tobacco, Drugs, Drug Paraphernalia, Medical Drugs (whether with prescription or not), and any other substances prohibited by the Philippine law are strictly prohibited from TippyMart.
4. Misleading Discounts
Any form of price manipulation which intends to deceive buyers through editing a former excessive price into a normal price tag with the purpose of creating a fake discount is strictly prohibited. In order to maintain safe and trustworthy transactions, Chimes via TippyMart shall approve of any price reductions before allowing any changes on the site.
5. Obscene Content
Any food items which contain any obscene content shall not be tolerated. This includes pornography and any items which suggests sexual content and/or images that are against the standards of morality and decency.
6. Human Parts
Human parts/organs either for consumption or medical use is strictly prohibited.
7. Live Animals
Live animals whether for consumption or not is not allowed. This also applies to fish, poultry, and livestock raised to produce food and any other commodities.
Note: This rule does not apply to raw meat which can be used as ingredients for cooking.
8. Offensive Material
Any item promoting hate shall not be tolerated in TippyMart. This includes, but is not limited to, food with designs that are offensive or insulting to people (ex. racial slurs, anti-LGBT, etc.).
9. Marketing Items as Breastmilk Substitutes
In accordance with the Philippine Milk Code of 1986, any feeding bottles, milk products, etc. marketed to replace breastfeeding is considered prohibited. Any company or professional individual violating the Milk Code shall have their licence revoked or suspended, or be imprisoned with a fine.
10. Listings that Violate the E-Commerce Law
All rules indicated in the E-Commerce law shall also apply to TippyMart and its users.
The prohibited items/listing policy is included in TippyMart’s Terms and Conditions. Should anybody be caught violating any of the following, strict consequences shall be observed.
Penalties:
If TippyMart has any reason to believe you, your listing or your use of the Services violate our listing Policy, we may remove your listing, suspend or terminate your account (and any accounts that are related to your account violation). TippyMart will notify you about your violations and actions taken unless we have legal or regulatory reasons preventing us from notifying you. In case of account suspension or termination all subscription fees are non-refundable.
Penalties are categorized under 3 levels based on severity and number of repeated offenses. All violations are reviewed by TippyMart and maybe escalated to a higher penalty than listed below:
Level 1
Listings will be taken down immediately, and a warning will be sent to the offender.
Level 2
Listings will be taken down immediately, and a notification will be sent to the offender. This may also include an account suspension that may vary from 24 hours to 30 days.
Level 3
Listings will be taken down immediately, and a notification will be sent to the offender. This may also include an account suspension that may vary from 30 days to account termination.

Buyer Terms of Sale
1. DEFINITIONS
Unless otherwise defined, the definitions and provisions written in the Terms and Conditions, in respect of interpretations shall apply to these Terms and Conditions of Sale.
1.1 “Non-Perishable Food Items” refers to food products that do not require refrigeration and have a long shelf life.
1.2 “Sellers” refers to users who post items for sale on the site;
1.4 “Buyer” refers to users who order and buy products from Sellers on the site;
1.4 “Customer Contracts” refers to the agreement between the Buyer and the Seller. Parties enter into agreement from the moment that the Seller accepts the Order submitted by the Buyer;
1.5 “Order” refers to the goods being bought within the platform;
1.6 “Order Form” refers to the initial form filled out to initiate an order;
1.7 “Order Placing” the act of completion and submission of Orders done in the site.
1.8 “Chimes” refers to Chimes Consulting, the company who owns TippyMart and who acts on its behalf.
2. PURCHASE OF PRODUCTS
2.1 By purchasing products through our services and/or accessing our site, you thereby acknowledge, understand, and agree to comply with our Terms and Conditions, operating rules, guidelines, instructions, and/or policies for the use of our services and/or access to the site, including any amendments to the aforementioned. Chimes reserves the right to revise all Terms and Conditions, operating rules, guidelines, instructions, and/or policies pertaining to the use of our services and the site at any time. You shall be deemed aware of and bound by any changes to the foregoing upon its publication in the site. Should any user disagree, do not continue the usage of our service and/or access to the site.
2.2 Sellers: Products sold to you by Sellers will be governed by individual Customer Contracts made by you and the Seller. Such agreements shall be entered into directly and only between you and the seller.
2.3 While it is required that Sellers provide accurate, complete, and up to date information, Chimes does not warrant that the Sellers would provide an accurate, complete, and up to date product description. As stated in our General Terms and Conditions, all users are solely responsible for any information they provide through the site. Thus, Chimes will not be liable for such information.
2.4 Order Placing: You may place an Order by adding the product you wish to buy to the list, completing and submitting the Order form, and talking to the seller for the specifics of your order. The Seller cannot accept orders placed in any other manner. You are solely responsible for ensuring the accuracy of the Order.
2.4.1 All Order Placing shall be deemed irrevocable and unconditional upon the creation of a Customer Contract (see more details below in clause 2.4.2). Seller shall be entitled, but not obliged, to process such Order without any further consent, reference, or notice to you. The Seller will not be obliged to give effect to any request to cancel or amend any order;
2.4.2 All Orders shall be subject to Seller’s sole discretion with regards to acceptance and decline to process. Once the Orders you sent are accepted by the Seller, it shall constitute a Customer Contract, which is a separate contract. You acknowledge and agree that unless Chimes notifies you on TippyMart that your order has been accepted, Seller is not legally binded for the sale or other dealings with the item.
2.5 Warranty for Products: The warranties with respect to an item sold under a Customer Contract shall be limited to by the General Terms and Conditions and shall be as stated by the Seller through the site.
2.6 Acknowledgement: You acknowledge that Chimes shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, intangible losses, and any other type of damages caused by any breach of a Seller’s express and/or implied warranty on the products.
3. DELIVERY OF PRODUCTS
3.1 Chimes is not responsible for any delivery, packing, and shipping for orders done on TippyMart. Thus, Chimes is not liable to any losses or damages incurred during the process;
3.2 Delivery of the products shall be made through the address and courier agreed upon by you and the Seller;
3.3 Shipping: Charges in terms of shipping and packing shall be as set out and agreed upon by you and the Seller;
3.4 In the event in which the buyer failed to take the delivery of the items, by reason in which other than the Seller’s fault or the Buyer’s reasonable control, Seller may submit a report through the Contact Us page.
4. PRICES OF PRODUCTS
4.1 All listed products are subject to TippyMart’s Fair Pricing Policy. Should there be any product listing with an unfair pricing, we encourage all users to not buy the said products and report it to us immediately through the Contact Us form.
4.2 Taxes: All Listing Prices are subject to taxes, unless otherwise stated. Seller reserves the right to amend the Listing Prices at any time without giving any reason or prior notice.
5. PAYMENT OF ORDERS
Payment of Orders shall be done through the payment methods agreed upon by you and the Seller. Chimes shall not handle any financial matters with regards to any Orders made through our TippyMart’s services and/or access to our site. Chimes therefore is not liable for any losses incurred during your transaction with the Seller.
6. RETURNS, REFUNDS, OR REPLACEMENTS
6.1 Return Policy: All returns must be done in accordance with the instructions set out in the Return Policy of each individual store. Seller is not obliged to agree to any return unless all such instructions are followed to Seller’s satisfaction.
6.2 Permitted Returns or Replacements: Since products sold on the site are food; Generally, Chimes does not allow returns or replacements on TippyMart except only for non-perishable food items. However, Sellers are not obliged to agree to any return or replacements unless it is stipulated in their stores’ policy.
6.3 Refunds Policy: All refunds must be done in accordance with the Refunds Policy set out by each individual store. If you believe that you complied to their Return and Refunds Policy, or did not receive any delivery from the Seller, you may send a report in our Contact Us page.

8. TERMINATION
8.1 You may cancel your Order as long as it is not yet under a Customer Contract. Otherwise, you may talk to the Seller for any cancellation. It is in the Seller’s sole discretion to accept any cancellations of Orders under a Customer Contract.
8.2 Seller may cancel Orders, stop items in transit, terminate the Customer Contract, or discontinue further deliveries to any Buyer, as long as it is without prejudice to any other rights of termination found elsewhere in these Terms and Conditions of Sale.
9. LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY THE LAW, CHIMES, ITS SHAREHOLDERS, AFFILIATES, AND EMPLOYEES, SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR ANY THIRD PARTY AND THEIR SERVICES, THE USE OR INABILITY OF ACCESS, YOUR ACTIONS OR OTHER USERS’ ACTIONS CONNECTED TO THE USE OF TIPPYMART AND ITS SERVICES DUE TO YOUR COMMUNICATION OR MEETINGS WITH OTHER USERS OF TIPPYMART, EVEN IF FORESEEABLE OR NOT, WHETHER CHIMES WAS ADVISED OF THE PROBABILITY OF SUCH DAMAGES. IN NO EVENT SHALL CHIMES’S AGGREGATE LIABILITY TO YOU SHALL EXCEED: (I) THE AMOUNT OF FEES YOU PAID FOR TIPPYMART’S SERVICES WITHIN 12 MONTHS; AND (II) PHP 5,000.

Privacy and Cookies Policy
1. Introduction
There is nothing more important to us than our users’ privacy. We believe that smooth and trustworthy transactions depend a lot on information privacy and security; and to continue doing good business deals, trust plays an important role. As buyers and sellers join the community, TippyMart (herein referred to as “the site”, “the community”, “us”, “we”, and “our”) shall collect some information to provide a better service, and to contact users (herein referred to as “you”, “buyers” and “sellers”) should the need arise. With that said, we would like to discuss the scope of collection, safe usage, disclosure, protection of our users’ information, and cookies of TippyMart. “Chimes” shall refer to Chimes Consulting, the company who owns TippyMart.
Through creating an account in TippyMart and using our services, all buyers and sellers agree to our Terms and Conditions, which includes our Privacy and Cookies Policy. Should there be any questions or concerns coming from any party, please feel free to contact us.
Chimes reserves the right to make changes in our Privacy and Cookies Policy at any time; and should there be any modifications, we shall alert our users regarding the changes through notifying all sellers and buyers through their emails provided to us or on the website. We encourage everyone to review our policies once updates are made. Once notifications have been sent, users are considered aware of the changes and have agreed to all modifications created.
2. Collection of Users’ Information
TippyMart collects and utilizes the information provided to us voluntarily and indirectly by our users. Voluntary laid out information are those written in registration forms, and any given data directly provided through our email or contact us form. This includes, but is not limited to, your name, birthday, address, email address, contact numbers. Other data which are obtained through the search engine, and actions done under our website fall under indirect information.
Should any member provide us with information of third parties such as families, friends, and/or employees, this signifies that our users have rightfully obtained the permission of said parties and thus, have been entrusted with consent of sharing said information.

6. Data Provided Through Emails
Users of TippyMart are in no way obligated to provide information they do not wish to share. However, we cannot ensure that we can provide the same service offered to others who have voluntarily agreed to entrust us with their information.
3. Collection of Users’ Information
Collected information will be used for future promotional offers, construction of the perfect user experience, and tailored advertisements intended for a more customized experience. This usage of information mainly focuses on the Digital Marketing and IT side of TippyMart, which is handled by our very own company, Chimes Consulting. Through data collection, Chimes shall monitor and analyze the trends of our users and make the site feel more personalized. This explains advertisement banners which you might find familiar and/or connected to your history or past actions carried out in our site. Chimes may also provide service-related emails and/or Marketing emails intended to update you on changes or promotions in the site. However, all users may opt to cancel their subscriptions on our newsletter but may not cancel the receipt of important information such as changes in our Privacy and Cookies Policy.
Chimes may also use the above stated information for other business activities of the site, including, but not limited to, analysis, research, and upgrades needed to help the site perform better as a business. Needless to say, information gathered for such intention will all be reasonably and safely utilized.
Chimes shall also use the collected data for concerns submitted by our users; especially in terms of troubleshooting, resolving different forms of disputes, and preventing fraudulent actions committed amongst the community.
4. Disclosure
TippyMart deeply respects our users’ privacy. Thus, there will be no disclosure of private information, excluding those mentioned in this policy. The site will not sell your personal information to third-parties, and shall only use the collected data for our services, advertisements, legal duty, and legitimate business affiliation.
a. Basic Details To Users of The Site
Profile details will be available to all users on TippyMart. Rest assured, all details are limited to basic information such as Name, Shop Name, and Email Address which are only intended for other sellers and/or buyers to identify and contact you for orders and inquiries.
b. Law Enforcement
Should a situation arise wherein the law requires Chimes to grant access on certain information, the site shall perform the duties necessary to respond to any legal processes which aim to investigate any potential violations or unlawful acts on the site. To keep TippyMart a safe haven for all users, away from fraud and crime, we shall perform accordingly and as requested.
c. Third-party Service Providers
Chimes may share information to our third-party partners for better service and assistance regarding different aspects of operation and security. Should we begin to work with third-party providers, we shall update this policy and shall list the names and link their respective privacy policies under this paragraph.
d. Third-party Advertisers
Chimes may use third-party advertisers to provide you tailored ads during your visit to the site. Information obtained from our users’ history may be used to offer you other services or goods connected to your interests.
5. Protection of Our Users’ Information
As we keep our users’ information’s protection and security top priority, Chimes makes use of SSL (Secure Sockets Layers) / TSL (Transport Layer Security) which safeguards any sensitive data that needs protection. TSL uses an encryption algorithm that unables any person (ex. hackers) to view your information such as contact details, name, address, etc. when in transit.
Please do note that we are not in control of the information you share through your interaction with other users (ex. conversations through reviews, private messages, and off-shore). Please be mindful of any information you send and post online as we cannot protect you from any damages you may incur should other parties use this information to conduct misdeeds.
Therefore, it is our users’ responsibility to protect their own information through providing only necessary details for proper online transactions. We also recommend our users to avoid sharing their passwords or any information that can gain access to their accounts; and to perform certain security measures such as signing out of your accounts should you open them through publicly used computers.
Chimes values your information, and conducts necessary measures to secure them. However, there is no security measure that is perfect; thus, no data is “completely” safe on the internet. Unfortunately, We cannot guarantee 100% protection.
6. Cookies and Web Beacons
Cookies and other tracking technologies may be used on TippyMart for better service and user experience. Users are free to configure their devices into canceling and deleting cookies, but by doing so, you are also limiting the services we can offer to you. Web beacons are used to track and monitor the online behavior of our users. Through this, we can identify the effectiveness of contents, and for analytics.
7. Users’ Rights in Reviewing/Changing Their Information and Termination of Account
Buyers and Sellers of TippyMart may opt to review and change their information under the profile or privacy settings of the site. At any given time, users may also terminate or delete their account from the site to delete information. However, other information shall be retained for legal and other troubleshooting purposes. Information is often retained for only a period of time although there are instances wherein we have to keep it on our system for security and safety reasons.
Should our users prefer to withdraw or cancel their subscription from our newsletter and other marketing emails, they may also do so through accessing the settings page, or through contacting Chimes via TippyMart. However, important details about the site shall continue to be sent via emails and other forms of notifications.
Certain information may be deleted on TippyMart, should our users prefer to have them deleted. In such cases where the account holds that data, Chimes might have to delete the account itself. However, as mentioned, deletion of account does not mean complete deletion of the entire information in our system.
